Ad-hoc-Publizität und Related Party Transactions nach ARUG II
Zusammenfassung
Mit der Frage nach der Ad-hoc-Publizitätspflicht gem. Art. 17 MAR und RPT nach ARUG II verbindet die Untersuchung zwei Regelungsregime, die unberechtigte (Informations-)Vorteile zu Lasten Dritter minimieren. Bereits der Tatbestand und die praktische Umsetzung der Ad-hoc-Publizitätspflicht stellen Emittenten vor praktische Herausforderungen. Die Untersuchung zeigt neue Herausforderungen in der praktischen Umsetzung beider Regelungsregime auf, indem sie das Zusammenspiel beider Normenregime beleuchtet. Dabei bezieht sie insbesondere die Frage nach der Anwendbarkeit der Aufschubmöglichkeiten des Art. 17 Abs. 4 und Abs. 5 MAR auf die RPT-Veröffentlichungspflicht nach § 111c Abs. 1 AktG in die Untersuchung ein.
Abstract
Raising the question of Ad hoc disclosure according to Art. 17 MAR and Related Party Transactions according to the German Act Implementing the SRD 2017 (ARUG II), the thesis combines two regulatory regimes that minimize unjustified (information) advantages to the detriment of third parties. The Ad hoc disclosure obligation alone imposes practical challenges to issuers. This thesis identifies new challenges in the practical implementation of both regulatory regimes by shedding light on the interplay between them. In particular, the thesis includes the question of the applicability of Art. 17 (4) and (5) MAR to the RPT publication obligation under sec. 111c (1) German Stock Corporation Act (AktG).
